Insolvency and Corporate Reorganisation

Today’s business environment has seen insolvency and corporate recovery come to the fore. We offer practical and commercial advice on a full range of contentious and non-contentious issues encountered in insolvencies.

Galligan Johnston represent a range of stakeholders from corporate debtors to creditors, financial institutions and accountants on a wide range of advisory services including Corporate Debt Settlements, Debt Collection and Personal Insolvency Matters. We also advise appointed Examiners, Liquidators, Receivers and other insolvency practitioners on their duties and obligations under the Irish company law code.

Galligan Johnston is a recognised adviser on:

The insolvency team of Galligan Johnston is headed up by Edward Johnston, Partner.

High Court Examinership Applications
Section 2 of the Companies (Amendment) Act 1990 provides that the following parties have the legal standing or capacity to petition the High Court to place an insolvent company into Examinership:

– The Company itself;
– The directors of the Company;
– A creditor, or contingent or prospective creditor (including an employee) of the Company;
– Members of the Company holding not less than one-tenth of the paid-up voting share capital of the Company;

Examinership enables insolvent companies to be placed under the protection of the court for a period of time, while the future prospects and viability are assessed. No creditor can move against the Company during this protection period which can last up to 100 days. An Examiner, appointed by the court, will review the company’s affairs, consider its viability and if feasible, formulate proposals for the survival.

The following legal documentation will be required to make an application to place an insolvent Irish company under the protection of the Court in Examinership:

– Ex-Parte Application;
– Petition;
– Independent Accountant’s Report;
– Verifying Affidavit;
– Affidavit of Suitability; and
– Letter of Consent from the Nominated Examiner.

Creditors’ Voluntary Liquidations (CVL’s)
We advise extensively on Creditors Voluntary Liquidations and we regularly advise the directors of insolvent Irish companies on the convening of Creditors Meetings and attend at such meetings to advise the appointed directors on the proper conduct of such meetings according to the requirements of the Irish Companies Acts. Members’ Voluntary Liquidations (MVL’s)
The key characteristics of an MVL are as follows:

– It is a solvent winding-up initiated by the directors and the shareholders;
– There is no creditor involvement;
– A Declaration of Solvency must be sworn by the directors stating that the company can pay any remaining debts in full within 12 months; and
– The company is dissolved following completion of the winding-up.

Where the shareholders of an insolvent company wish to take a distribution of the company’s assets in a tax efficient manner or for any other reason, we can assemble a team of tax, accounting and legal advisers to structure the voluntary liquidation of the solvent company so that the commercial and tax objectives of the members and directors are achieved.

Corporate Reorganisation and Reconstruction
There are many options available to companies and groups of companies that continue more than one trade from the one corporate vehicle provided that the company has positive distributable reserves and profits available for distribution. In such circumstances the trades can be split out into other group or related companies in a tax efficient manner provided that the transactions are properly constructed and recorded and provided that all conditions attaching to the tax reliefs available are complied with. Such transactions can provide a solution to the common problems faced by companies that carry on more than one trade where burdensome upward-only rent review covenants are placing undue burden on the more successful trading undertakings of the Company.
